Valmisfirma juhatuse liikmeks saamine on puhtalt äriühingu ja juhtorgani liikme vaheline sisemine suhe. Nimetatud seisukohta on väljendanud ka Riigikohus 26. aprilli 2005.a. määruses tsiviilasjas nr 3-2-1-39-05, rõhutades, et juhatuse liikmeks saamine ja ametiaja lõppemine on üksnes äriühingu ja tema juhatuse liikme vahelise suhte küsimus ja et juhatuse liikme kanne äriregistris peab vaid avalikustama suhte kolmandate isikute jaoks, kuid registrikanne ei tekita ega lõpeta seda suhet. Juhatuse liikme kande tähendus äriregistris on seega deklaratiivne, mitte õigustloov.

Becoming member of the management board of a shelf company (Sw. lagerbolag; shell company) is a purely internal relation between the company and the member of the management body. The said opinion was also expressed by the Supreme Court in its Regulation of 26 April 2005 in civil case no. 3-2-1-39-05, emphasising that becoming member of management board and expiration of his term in office is solely the issue of a relation between the company and the member of its management board and that recording of member of the management board in Commercial Register is only to make public that relation to third parties, however the entry in Register does not create or terminate that relation. The meaning of recording of member of the management board in Commercial Register is therefore purely declarative, not law-making.
